These Terms of Service (“Terms”) govern your access to and use of the website, pages, and services operated by Robin Copernicus LLC (“RC,” “we,” “us,” or “our”). By accessing or using our site or submitting a form, you agree to these Terms.

Eligibility & accounts

You must be at least 18 years old and able to form a binding contract.
If you create or are given an account, you are responsible for maintaining its security and for all activity under it.
You must provide accurate, current information and keep it updated.

Services & proposals

Information on our site is for general marketing purposes. Any statement of scope, deliverables, fees, or timelines is non-binding until captured in a signed proposal, order form, or master agreement (“Agreement”). If there is a conflict between these Terms and an Agreement, the Agreement controls for the covered services.

No guarantees: Marketing outcomes vary. We do not guarantee ranking, traffic, leads, or revenue. We commit to professional, commercially reasonable efforts as defined in the applicable Agreement.

Acceptable use

You agree not to do any of the following:

Use the site or services for unlawful, infringing, or misleading purposes.
Reverse-engineer, scrape, or attempt to access non-public areas without authorization.
Interfere with site operation or impose unreasonable load (e.g., bots, DDoS).
Submit content that is illegal, defamatory, or violates the rights of others.

Intellectual property

The site, its design, text, and other content are owned by RC or our licensors and protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the site for its intended purposes.

User content & license

If you provide content (e.g., text, files, brand assets) to us, you represent you have rights to do so and grant RC a worldwide, non-exclusive license to use, reproduce, modify, and create derivative works solely to provide the services and as otherwise permitted in an Agreement. You retain ownership of your content.

Confidentiality

Each party may disclose non-public information to the other. The receiving party will use such information only to perform under these Terms or an Agreement and will protect it with reasonable care. This duty does not apply to information that is public through no fault, already known, independently developed, or rightfully received from a third party.

Third-party services

We may integrate with or reference third-party platforms (e.g., GoHighLevel, analytics, ad networks). Your use of third-party services is governed by their terms and policies, which we do not control.

Disclaimers

THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, RC AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIMS RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO RC FOR THE APPLICABLE SERVICES IN THE 12 MONTHS BEFORE THE CLAIM AROSE OR (B) $1,000.

Indemnification

You agree to defend, indemnify, and hold harmless RC and its affiliates from and against any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the site or services, your content, or your violation of these Terms or applicable law.

Termination

We may suspend or terminate access to the site at any time with or without notice. Sections that by their nature should survive (e.g., IP, confidentiality, disclaimers, limitation of liability, indemnity, and governing law) will survive termination.

Governing law & venue

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles. You agree to the exclusive jurisdiction and venue of the state and federal courts located in Fort Bend County, Texas for any dispute not subject to a separate written dispute-resolution clause in an Agreement.

Changes to the terms

We may update these Terms from time to time. We will post the updated version with a new “Last updated” date. Your continued use of the site after changes become effective indicates your acceptance.
